1. Acceptance of Terms​

By accessing or using any Live-Wiser service site (collectively, the “Platform”) operated by Convivia One (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not access or use the Platform. These Terms apply to all visitors, users, and others who access or use the Platform.

 

2. Our Mission and Privacy Commitment​

Convivia One is built on a foundational commitment to user privacy. The Live-Wiser Platform is designed as a “pull” service: you access and retrieve information on your own terms. We do not collect, store, track, or sell your personal data as part of our direct provision of the Platform.

 

Our mission is to provide the most anonymous service experience reasonably possible. We engineer our Platform with privacy by design, meaning anonymity is a core architectural principle, not an afterthought. To the greatest extent within our direct control, your use of the Platform leaves no personal data footprint with Convivia One.

 

Please note: Certain third-party technology providers or partners whose infrastructure or tools support the Platform may have their own independent data practices. We select such partners carefully and contractually require privacy-protective standards, but their practices are governed by their own policies. See Section 8 for more information.

 

3. Eligibility and Authorized Users​

The Platform is intended for use by individuals who have been designated as Authorized Users by their sponsoring organization (“Client”) or who have registered directly with Convivia One. To access the Platform, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction

• Have valid, unique login credentials issued to you for your personal use

• Comply with all applicable laws and regulations

 

Access to the Platform is granted by the Company to the applicable Client, subject to timely payment of applicable fees, as a limited, non-exclusive, non-transferable right for Authorized Users to access the Platform during the applicable service term for personal financial wellness purposes. Access is via unique login credentials provided to Client for use by Authorized Users.

4. Account Access and Credentials

Your login credentials are personal and non-transferable. As an Authorized User, you agree that you will NOT:

• Share your credentials with, or permit access to, any unauthorized individual

• Use the Platform to provide services to any third party on a commercial basis

• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code or underlying structure of the Platform

• Scrape, crawl, or use automated tools to extract data or content from the Platform

• Circumvent or attempt to circumvent any security or access control mechanism

 

Because the Platform is designed to minimize data collection, Convivia One will not hold records of your session activity or usage history. You are solely responsible for safeguarding your credentials. Please notify us immediately at support@convivia.one if you believe your credentials have been compromised. Convivia One shall not be liable for an individual Authorized User’s breach of these restrictions.

 

5. Pull-Only Service Model

The Platform operates exclusively as a pull service. This means:

• You initiate all interactions — the Platform does not push content, notifications, or communications to you unless you expressly opt in

• We do not monitor your usage patterns, build user profiles, or employ behavioral analytics within our direct systems

• We do not use your access of the Platform to infer, derive, or record personal characteristics, financial status, or behavioral data

 

The Platform is a resource you access when and how you choose. Its design reflects our belief that genuine financial wellness tools should empower users without surveilling them.

 

6. Permitted Use of the Platform

The Platform is provided for personal financial wellness purposes only. You may use the Platform solely to access tools, resources, content, and features made available for that purpose. Any use of the Platform for commercial gain, data harvesting, competitive analysis, or any purpose other than personal financial wellness is strictly prohibited.

 

7. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, and software, is the exclusive property of Convivia One or its content suppliers and is protected by applicable intellectual property laws. You are granted a limited license to access and use the Platform for its intended purpose only. No content may be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purpose without our prior written consent.

 

8. Third-Party Providers and Partners

To deliver the Platform, Convivia One works with a limited number of third-party technology providers and partners (for example, hosting infrastructure or security services). These providers may, by the nature of their technical role, have incidental exposure to connection-level data such as IP addresses or access timestamps. We contractually require all such providers to:

• Apply privacy-protective data handling standards consistent with our mission

• Refrain from using any Platform-related data for their own commercial purposes

• Maintain appropriate security safeguards

 

We do not direct, authorize, or condone any third-party collection or use of your personal information beyond what is minimally necessary for the technical delivery of the Platform. Their practices are governed by their own privacy policies, which we encourage you to review.

 

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CONVIVIA ONE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VULNERABILITIES.

 

Content on the Platform is for general informational and educational purposes only. Nothing on the Platform constitutes professional financial, legal, tax, or investment advice. You should consult a qualified professional before making any financial decisions.

 

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONVIVIA ONE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

11. Termination and Suspension

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by applicable law. Upon termination, your right to access the Platform will immediately cease. Sections 7, 9, 10, 12, and 13 shall survive termination.

 

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under or relating to these Terms or your use of the Platform shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

 

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this document and, where appropriate, by posting a notice on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.
